Terms of Service

These Terms of Service (“Terms”) set forth the agreement between you and Asmos regarding your use of the Asmos platform, software, and related services.

These Terms of Service (“Terms”) govern your access to and use of Asmos, including our websites, applications, software, analytics, optimization tools, integrations, and related services (collectively, the “Services”).

By creating an account, connecting a website or ecommerce store, starting a trial, purchasing a subscription, or otherwise using the Services, you agree to these Terms.

If you do not agree to these Terms, you may not use the Services.

1. Eligibility and Accounts

You must be at least 18 years old and legally capable of entering into a binding agreement to use Asmos.

You are responsible for:

  • Providing accurate account information;

  • Maintaining the security of your login credentials;

  • All activity performed through your account;

  • Ensuring that individuals using Asmos on behalf of your organization are authorized to do so; and

  • Promptly notifying us if you believe your account has been compromised.

If you use Asmos on behalf of a company or other organization, you represent that you have authority to bind that organization to these Terms.

2. The Asmos Services

Asmos provides software designed to help businesses create, analyze, test, personalize, and optimize ecommerce conversion experiences.

Depending on your plan and available features, the Services may include:

  • Generating pop-ups, forms, offers, copy, layouts, and other conversion experiences;

  • Creating and testing multiple design or content variants;

  • Running A/B tests and other optimization processes;

  • Automatically allocating traffic between variants;

  • Identifying, reducing traffic to, pausing, or eliminating lower-performing variants;

  • Analyzing visitor interactions and conversion performance;

  • Providing analytics, insights, recommendations, and predictions;

  • Connecting with ecommerce, email, SMS, CRM, analytics, and other third-party platforms; and

  • Automatically implementing optimization decisions where you have enabled autonomous functionality.

Features may change, improve, be replaced, or be discontinued as Asmos develops.

3. Connecting Your Store or Website

You may connect Asmos to Shopify or other supported websites, stores, platforms, and services.

By connecting a store or website, you represent that you own it or have sufficient authorization to allow Asmos to access and operate on it.

You authorize Asmos to perform the actions reasonably necessary to provide the Services you enable, which may include:

  • Reading relevant store and website information;

  • Analyzing publicly available website content;

  • Accessing product, theme, campaign, and conversion-related information;

  • Installing or operating Asmos scripts and tracking technologies;

  • Displaying pop-ups and other experiences;

  • Collecting permitted interaction and performance events; and

  • Receiving conversion, order, and attribution information.

You are responsible for reviewing the permissions requested by Asmos and configuring your account appropriately.

4. Automated and AI-Powered Features

Certain Asmos features use artificial intelligence, machine learning, statistical models, automated experimentation, or other algorithmic systems.

These systems may generate or modify:

  • Designs;

  • Headlines;

  • Copy;

  • Calls to action;

  • Offers;

  • Layouts;

  • Targeting rules;

  • Trigger conditions;

  • Experiment variants; and

  • Optimization recommendations.

Where autonomous optimization is enabled, Asmos may also automatically adjust traffic allocation, generate new variants, pause or eliminate variants, and select higher-performing experiences within the permissions and limits configured by you.

Automated outputs may contain errors or produce unexpected results. You remain responsible for reviewing your campaigns, offers, legal claims, customer communications, and account configuration.

Asmos does not provide legal, financial, or regulatory advice through its automated recommendations.

5. Experiments and Conversion Optimization

Asmos may conduct experiments using A/B testing, multi-armed bandit methods, Bayesian methods, statistical modeling, or other optimization techniques.

Experiment results depend on many factors outside Asmos's control, including traffic volume, visitor behavior, seasonality, pricing, products, advertising, website performance, and market conditions.

Past performance does not guarantee future performance.

Metrics, predictions, probabilities, confidence estimates, benchmarks, and recommendations provided by Asmos are informational and should not be interpreted as guaranteed outcomes.

6. No Guarantee of Results

Asmos is designed to help improve conversion performance, but we do not guarantee any particular:

  • Conversion rate;

  • Revenue increase;

  • Number of leads;

  • Subscriber growth;

  • Return on investment;

  • Experiment result;

  • Customer behavior; or

  • Business outcome.

Results may vary substantially between businesses, audiences, campaigns, and time periods.

7. Customer Content and Data

You retain ownership of the content and data you provide to Asmos, including your brand assets, campaign content, product information, and other materials (“Customer Content”).

You grant Asmos a limited, non-exclusive license to host, process, reproduce, modify, and use Customer Content as necessary to provide, maintain, secure, and improve the Services.

You represent that you have all rights and permissions necessary for Customer Content provided to Asmos.

8. Generated Content

Subject to applicable law and third-party rights, you may use content generated specifically for you through Asmos in connection with your business.

Because automated systems can generate similar outputs for different users, Asmos does not guarantee that generated content will be unique.

You are responsible for reviewing generated content before publication, including checking:

  • Product claims;

  • Pricing;

  • Discount terms;

  • Intellectual property;

  • Regulatory requirements;

  • Advertising claims; and

  • Other information displayed to your customers.

9. Analytics and Visitor Data

Asmos may process visitor interaction and performance information necessary to provide analytics and optimization features.

Depending on the features enabled, this may include events such as:

  • Page and session activity;

  • Pop-up impressions;

  • Clicks and interactions;

  • Form engagement;

  • Conversion events;

  • Device and browser information;

  • Traffic and referral information;

  • Experiment assignment;

  • Shopping and purchase events; and

  • Other behavioral signals configured through the Services.

You are responsible for ensuring that your use of Asmos complies with applicable privacy, cookie, marketing, and data-protection laws and for providing appropriate disclosures and obtaining consent where required.

Our handling of personal information is further described in our Privacy Policy and, where applicable, Data Processing Agreement.

10. Third-Party Services and Integrations

Asmos may integrate with third-party services such as Shopify, Klaviyo, Mailchimp, analytics platforms, CRM systems, SMS providers, automation platforms, and other services.

Your use of those services remains subject to their respective terms and policies.

Asmos is not responsible for:

  • Third-party service outages;

  • Changes to third-party APIs;

  • Data loss caused by third-party services;

  • Third-party account restrictions;

  • Third-party pricing changes; or

  • Actions taken by third-party providers.

We may modify or discontinue integrations when necessary.

11. Acceptable Use

You may not use Asmos to:

  • Violate applicable law or regulation;

  • Infringe intellectual property or privacy rights;

  • Send unlawful or unauthorized marketing communications;

  • Collect information without required consent;

  • Distribute malware or malicious code;

  • Attempt unauthorized access to Asmos or another user's account;

  • Circumvent security or usage restrictions;

  • Interfere with the operation of the Services;

  • Reverse engineer the Services except where expressly permitted by law;

  • Use automated means to abuse or overload Asmos infrastructure; or

  • Use the Services for fraudulent, deceptive, or harmful activities.

We may suspend or terminate accounts that violate these requirements.

12. Subscriptions and Billing

Certain Asmos features require a paid subscription.

By purchasing a subscription, you authorize us or our payment provider to charge the applicable subscription fees and taxes.

Unless otherwise stated:

  • Subscriptions automatically renew at the end of each billing period;

  • Fees are charged according to your selected plan;

  • Plan limits may be based on traffic, usage, stores, experiments, or other metrics;

  • Additional usage or overages may result in additional charges where specified; and

  • You are responsible for maintaining a valid payment method.

Pricing and plan features may change. We will provide notice of material pricing changes where required.

13. Free Trials

Asmos may offer free trials or promotional access.

Trial duration, functionality, usage limits, and eligibility may vary.

Unless otherwise stated, continued use after a paid trial begins may result in charges according to the plan selected during signup.

We may modify or discontinue promotional offers at any time.

14. Cancellation and Refunds

You may cancel your subscription through your account or by contacting Asmos support.

Cancellation prevents future renewal but does not automatically refund fees already paid unless required by law or otherwise stated in our Refund Policy.

Your access to paid features may continue until the end of the applicable billing period.

15. Intellectual Property

Asmos and its licensors retain all rights, title, and interest in the Services and underlying technology, including:

  • Software;

  • Algorithms;

  • Models;

  • Interfaces;

  • Designs;

  • Databases;

  • Documentation;

  • Trademarks;

  • Branding; and

  • Proprietary technology.

Except for the limited right to use the Services under these Terms, no intellectual property rights are transferred to you.

16. Confidentiality

If either party receives non-public business, technical, or commercial information from the other party that would reasonably be understood to be confidential, the receiving party will use reasonable measures to protect that information and use it only for purposes related to the Services.

This obligation does not apply to information that is publicly available, independently developed, lawfully received from another source, or required to be disclosed by law.

17. Service Availability and Changes

We work to maintain reliable Services but cannot guarantee uninterrupted availability.

Asmos may occasionally be unavailable due to:

  • Maintenance;

  • Updates;

  • Infrastructure failures;

  • Third-party outages;

  • Security events; or

  • Circumstances outside our reasonable control.

We may modify, add, or remove features as the product evolves.

18. Disclaimers

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” TO THE MAXIMUM EXTENT PERMITTED BY LAW.

ASMOS DISCLAIMS WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.

WE DO NOT WARRANT THAT THE SERVICES WILL BE ERROR-FREE, UNINTERRUPTED, OR THAT ANY PARTICULAR BUSINESS OR CONVERSION RESULT WILL BE ACHIEVED.

19. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ASMOS AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST REVENUE, LOST DATA, OR LOST BUSINESS OPPORTUNITIES ARISING FROM OR RELATED TO YOUR USE OF THE SERVICES.

ASMOS'S TOTAL LIABILITY ARISING OUT OF OR RELATING TO THE SERVICES WILL NOT EXCEED THE AMOUNT YOU PAID TO ASMOS DURING THE PERIOD SPECIFIED BY APPLICABLE LAW OR YOUR AGREEMENT WITH ASMOS.

20. Suspension and Termination

You may stop using Asmos at any time.

We may suspend or terminate access where reasonably necessary, including where:

  • You materially violate these Terms;

  • Fees remain unpaid;

  • Your use creates a security or legal risk;

  • Your activity threatens the Services or other users; or

  • We are required to do so by law.

Following termination, certain provisions of these Terms that by their nature should survive will remain effective.

21. Governing Law

Any dispute will be resolved in the courts or through the dispute-resolution process specified by applicable law or a separate written agreement between you and Asmos.

22. Changes to These Terms

We may update these Terms as Asmos and our Services evolve.

When we make material changes, we will provide notice where required, including by updating the date at the top of this page.

Your continued use of the Services after updated Terms become effective constitutes acceptance of those Terms, where permitted by law.

23. Entire Agreement

These Terms, together with our Privacy Policy, applicable order forms, Data Processing Agreement, Refund Policy, and other agreements expressly incorporated by reference, constitute the agreement between you and Asmos regarding the Services.

If an enterprise customer has a separately executed agreement with Asmos, that agreement will control where it conflicts with these Terms.
